These terms govern use of the zxai.ai website. If you are a ZxAI customer, your use of the ZxAI service platform is governed by the Master Service Agreement and Business Associate Agreement you signed. These Terms of Service apply to all visitors to this website.

1. Acceptance of Terms

By accessing or using the website located at https://zxai.ai (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms constitute a legally binding agreement between you and ZxAI ("ZxAI," "we," "us," or "our"). We may revise these Terms at any time. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms.


2. Description of Services

ZxAI provides AI-powered automation agents for private medical practices in the United States. Our platform helps medical practices automate administrative workflows including appointment scheduling, prior authorization processing, billing follow-up, patient outreach, and related operational tasks.

This Site is an informational website. Actual use of ZxAI's service platform is governed by a separate Master Service Agreement entered into between ZxAI and the customer, which includes a HIPAA Business Associate Agreement.


3. Not Medical Advice or Clinical AI

Important: ZxAI is an administrative automation platform. ZxAI agents handle scheduling, billing, prior authorization submissions, patient communications, and similar operational tasks. ZxAI does not provide medical advice, clinical decision support, diagnostic recommendations, or treatment guidance. ZxAI is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or health condition.

Nothing on this Site or within ZxAI's service platform should be construed as medical advice. Patients should always consult a licensed healthcare provider for medical decisions. Medical practices using ZxAI remain solely responsible for all clinical decisions made for their patients.

You may use this Site for lawful purposes and in accordance with these Terms. You agree not to:

The ZxAI name, logo, and product names are trademarks of ZxAI. You may not use our trademarks without our prior written permission.

This Site may contain links to third-party websites or services (such as scheduling tools or email clients) that are not owned or controlled by ZxAI. We provide these links for convenience only and do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party site.

7. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZxAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ZxAI does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Site will be accurate or reliable; or (c) any errors in the Site will be corrected.

Performance statistics and results described on this Site (including revenue recovery estimates and patient engagement improvements) are industry-average figures or aggregate outcomes from ZxAI's customer base. Individual results will vary depending on practice size, specialty, workflow, patient population, and other factors. Past results are not a guarantee of future performance.


8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZxAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THIS SITE, EVEN IF ZxAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL ZxAI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THIS SITE EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, the above exclusions and limitations apply to the fullest extent permitted by law.


9. Indemnification

You agree to indemnify, defend, and hold harmless ZxAI and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.


10. AI Disclosure

ZxAI's service platform uses artificial intelligence to automate administrative tasks on behalf of medical practices. When ZxAI agents communicate with patients on behalf of a practice (for example, appointment reminders, scheduling confirmations, or reactivation outreach), those communications are generated by AI.

ZxAI requires its customers — the medical practices using our platform — to disclose to their patients that automated AI communications may be used in their practice's operations. This disclosure obligation is a contractual requirement in ZxAI's service agreements.

ZxAI agents are never intended to deceive patients about the fundamental nature of their communications. Medical practices retain full control over agent configuration, naming, and disclosure practices and are responsible for compliance with applicable disclosure laws in their jurisdiction, including the California Automated Decision Systems and Bot Disclosure Act.


11. HIPAA Notice

ZxAI operates as a Business Associate under HIPAA when it processes protected health information (PHI) on behalf of covered entities (medical practices). ZxAI enters into a Business Associate Agreement with each customer before any PHI is accessed or processed.

ZxAI implements technical, physical, and administrative safeguards consistent with HIPAA Security Rule requirements. All sub-processors that may have access to PHI are also required to maintain signed BAAs.

This Site does not collect or process PHI. Information submitted through this Site (such as email inquiries) is general contact information and is handled in accordance with our Privacy Policy.


12. Performance Claims and ROI Guarantee

This Site references certain statistics and performance outcomes. These figures are sourced from third-party industry research (including Accenture Health, the American Medical Association, and the Medical Group Management Association) or represent aggregate outcomes observed across ZxAI's customer base. Individual results depend on many factors and are not guaranteed.

90-Day ROI Guarantee

ZxAI's Full Platform (9-agent bundle) includes a 90-day ROI guarantee. The specific terms of this guarantee — including how ROI is measured, what qualifies as a covered shortfall, and how the guarantee is administered — are set forth in the Master Service Agreement. The guarantee applies only to Full Platform customers under an active MSA and is not available on single-agent or bundle plans.

Prospective customers should review the MSA for complete guarantee terms before purchasing.


13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will update the "Last updated" date at the top of this page when changes are made. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

Material changes that significantly affect your rights will be communicated through a prominent notice on the Site or, where applicable, via email to registered customers.


14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States and the state of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be subject to informal resolution. You agree to contact us at [email protected] to attempt to resolve any dispute informally before initiating formal proceedings.

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. This arbitration provision does not apply to claims for injunctive or other equitable relief to protect intellectual property rights.

You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any class action or representative proceeding.
